PrimeBoxie Design Agency offers a comprehensive suite of creative, design, and technology services, including but not limited to: brand strategy, human-centered design, digital product thinking, web development, application development, marketing asset creation, and AI-enabled creative solutions. A detailed scope of work for each project will be outlined in a separate agreement or proposal, which will form an integral part of these Terms.
Clients are responsible for providing timely and accurate information, feedback, and necessary assets required for the completion of projects. This includes, but is not limited to, content, images, brand guidelines, and access to relevant platforms. Delays caused by the client's failure to provide necessary information or approvals may impact project timelines and costs. Clients must ensure they have the legal right to use all materials provided to PrimeBoxie Design Agency.
The specific services to be provided by PrimeBoxie Design Agency will be detailed in a separate Statement of Work (SOW) or project proposal. Any changes to the agreed-upon scope of work must be documented in a change order and mutually agreed upon in writing by both parties. Such changes may affect project timelines and fees.
Payment terms will be specified in the individual project agreement or proposal. Generally, projects require an upfront deposit, with subsequent payments tied to project milestones or a recurring billing schedule. All invoices are due within 10 days of receipt. Late payments may incur interest at a rate of 10% per month or the maximum rate permitted by law. All fees are exclusive of applicable taxes, which will be added to invoices where required.
Projects include a specified number of revision rounds as outlined in the SOW. Additional revisions beyond the agreed-upon scope may be subject to additional fees. Client approval at key project milestones is essential for progress. Delays in approval may extend project timelines. Final approval signifies acceptance of the deliverables.
Project timelines are estimates and are contingent upon timely client feedback, approvals, and provision of necessary materials. PrimeBoxie Design Agency will make every reasonable effort to adhere to agreed-upon schedules. However, delays caused by unforeseen circumstances, client inaction, or changes in scope may necessitate adjustments to the timeline. We will communicate any potential delays promptly.
Upon full payment for services rendered, the client will own the intellectual property rights to the final deliverables specifically created for them. PrimeBoxie Design Agency retains the right to use project work for portfolio and promotional purposes, unless otherwise agreed upon in writing. Any third-party intellectual property or stock assets used in the project will be subject to their respective licenses.
PrimeBoxie Design Agency reserves the right to display and showcase all completed project work in our portfolio, on our website, and in promotional materials, including case studies, to demonstrate our capabilities and expertise. If a client requires strict confidentiality or wishes to opt-out of portfolio use, this must be explicitly agreed upon in writing prior to project commencement.
We may utilize third-party tools, software, and services to deliver our solutions. Clients acknowledge that their use of our services may be subject to the terms and conditions of these third-party providers. PrimeBoxie Design Agency is not responsible for any issues arising from the use or malfunction of third-party tools or services.
Both PrimeBoxie Design Agency and the client agree to keep confidential all proprietary and sensitive information disclosed during the course of the project. This includes, but is not limited to, business strategies, technical specifications, and unreleased product details. This obligation of confidentiality will survive the termination of these Terms.
Cancellation terms and refund policies will be outlined in the individual project agreement. Generally, deposits are non-refundable. If a project is canceled mid-way, the client will be invoiced for all work completed up to the point of cancellation, based on the agreed-upon rates or a pro-rata basis of the project fee. No refunds will be issued for completed work.
To the fullest extent permitted by law, PrimeBoxie Design Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any third party on the services; (c) any content obtained from the services; and (d) unauthorized access, use or alteration of your transmissions or content. Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the amount paid by you to PrimeBoxie Design Agency for the services in question.
Either party may terminate a project with a written notice if the other party breaches any material term of this agreement and fails to cure such breach within the notice period. Upon termination, the client shall pay for all services rendered up to the termination date. Sections related to intellectual property, confidentiality, limitation of liability, and governing law shall survive termination.
These Terms shall be governed by and construed in accordance with the laws of Lagos High Court, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Lagos.
PrimeBoxie Design Agency reserves the right to modify or update these Terms at any time. We will notify you of any significant changes by posting the new Terms on our website or through other appropriate communication channels. Your continued use of our services after such modifications will constitute your acknowledgment and acceptance of the revised Terms.
